Terms of Service
These Terms of Service ("Terms") are an agreement between Salestyr, Inc. ("Salestyr", "we", "us") and the organization that signs up for Salestyr ("Customer", "you"). By creating a workspace or using the service, you agree to these Terms on behalf of your organization.
1. The service
Salestyr is a software service that monitors public LinkedIn activity you choose to track (such as keywords, competitor company pages and competitor posts), turns it into leads, organizes those leads into lists, and helps your team run outreach from connected LinkedIn and email accounts. It also offers an MCP server so AI assistants can use Salestyr on your behalf.
We may improve, change or add features over time. If we remove a feature that is material to how you use the service, we will tell you in advance where reasonably possible.
2. Accounts and workspaces
You must give accurate information when you sign up and keep it current. You are responsible for everything that happens in your workspace, including the actions of the people you invite.
- Each subscription covers one organization and one workspace.
- You may invite an unlimited number of members from your organization.
- You may connect at most 2 LinkedIn accounts per organization.
- Keep your credentials and API keys confidential and tell us promptly about any unauthorized use.
3. Plan, fees and billing
Salestyr has one plan: $99 a month per organization, unlimited seats, max two LinkedIn accounts. Fees are billed monthly in advance in USD to the payment method on file and are not refundable except where required by law or stated in these Terms.
Prices exclude taxes. You are responsible for any sales, use, value added or similar taxes, other than taxes on our income.
We may change the price with at least 30 days' notice. The new price applies from your next billing period after the notice period ends. If you do not agree, you may cancel before it takes effect.
If a payment fails, we will let you know and may suspend the service if it is not resolved within 14 days.
4. Acceptable use
You agree to use the service lawfully and responsibly. You will not:
- send spam, harassment, or deceptive or unlawful messages;
- use the service to discriminate against people or to make decisions about employment, credit, housing or insurance;
- collect or use special categories of personal data (such as health, religion or sexual orientation) about leads;
- attempt to exceed the sending limits we apply to connected accounts, or connect accounts you are not authorized to use;
- reverse engineer, resell or sublicense the service, or use it to build a competing product;
- interfere with the security or operation of the service or other customers' use of it.
You are responsible for complying with the terms of third-party platforms you connect, including LinkedIn's User Agreement and the policies of your email provider, and with laws that apply to your outreach, such as CAN-SPAM, GDPR and CASL.
5. Customer data
"Customer Data" means data you or your members submit to Salestyr, and lead data Salestyr collects on your instructions. You own Customer Data. You grant us a limited right to host, process and display it only to provide, secure and support the service.
You are the controller (or business) for personal data in Customer Data, and we act as your processor (or service provider). Our Data Processing Addendum, available on request, forms part of these Terms when you accept it.
You confirm you have a lawful basis to contact the people in your lists and that you will honor opt-out and deletion requests promptly.
6. Third-party services
Salestyr works with services we do not control, such as LinkedIn, email providers, CRMs and AI assistants. Your use of those services is governed by their terms. We are not responsible for their availability, or for restrictions they place on accounts you connect.
7. Our intellectual property
We own Salestyr, including the software, design and documentation. Apart from the rights expressly granted in these Terms, no rights are transferred to you. If you send us feedback, we may use it without obligation to you.
8. Confidentiality
Each party will protect the other's non-public information with at least reasonable care, use it only to perform under these Terms, and share it only with people who need to know and are bound by similar obligations.
9. Warranties and disclaimers
We will provide the service with reasonable skill and care and in line with our documentation. Except as stated in these Terms, the service is provided "as is" and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
We do not guarantee any particular number of leads, replies or meetings, or that a third-party platform will not restrict an account you connect.
10. Limitation of liability
Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if advised of the possibility.
Each party's total liability arising out of these Terms is limited to the fees you paid in the 12 months before the event giving rise to the claim. These limits do not apply to your payment obligations, a party's indemnity obligations, or liability that cannot be limited by law.
11. Indemnity
You will defend and indemnify us against third-party claims arising from your Customer Data, your outreach content, or your breach of Section 4. We will defend and indemnify you against third-party claims that the service, used as permitted, infringes their intellectual property rights.
12. Term, cancellation and termination
Your subscription renews monthly until cancelled. You can cancel at any time from Settings → Billing; cancellation takes effect at the end of the current billing period.
Either party may terminate for material breach that is not cured within 30 days of notice. We may suspend access immediately if needed to prevent harm to the service, other customers or third parties.
After termination you can export your data for 30 days. We then delete Customer Data from active systems within 30 days and from backups within 90 days, unless the law requires us to keep it.
13. General
These Terms are governed by the laws of the State of Delaware, excluding its conflict of law rules. The state and federal courts in Delaware have exclusive jurisdiction, except that either party may seek injunctive relief anywhere.
We may update these Terms. For material changes we will give at least 30 days' notice by email or in the app. Continued use after the effective date means you accept the update.
These Terms are the entire agreement between the parties about the service. If a provision is unenforceable, the rest remains in effect. Neither party may assign these Terms without consent, except to a successor in a merger or sale of substantially all assets.
